Welcome to Sistabag – Please Read These Terms Carefully

These Terms and Conditions (“Terms”, “Agreement”) govern your use of the website sistabag.store (the “Site”) and your purchase of any products from Sistabag Magic and Melanin LLC (“Company”, “we”, “us”, “our”). By accessing the Site, placing an order, or otherwise interacting with our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Site or purchase our products.

These Terms are a legally binding contract between you and Sistabag Magic and Melanin LLC. They include important provisions about your rights, limitations of liability, dispute resolution, and arbitration. Please read them thoroughly before making any purchase.


I. Acceptance of Terms

By using this Site, you represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction).

  • You have the legal capacity to enter into a binding contract.

  • You will provide accurate, current, and complete information during the checkout process.

  • You will not use the Site for any illegal or unauthorized purpose.

  • Your use of the Site does not violate any applicable laws or regulations.

We reserve the right to update, change, or replace any part of these Terms at any time without prior notice. It is your responsibility to check this page periodically for changes. Your continued use of the Site following the posting of any changes constitutes acceptance of those changes. For material changes, we will notify you via email (if we have your address) or through a notice on the Site.


II. Products & Pricing

A. Product Descriptions

We strive to display our Leather HandbagsClutchesEclipse Makeup Bags, and Wallets as accurately as possible. However, we cannot guarantee that your monitor’s display of any color, texture, or detail will be precise. Leather is a natural material – slight variations in grain, color, and markings are normal and are not defects.

We reserve the right to correct any errors, inaccuracies, or omissions in product descriptions, pricing, or availability without prior notice (including after you have placed an order). If we change or cancel an order due to a pricing error (e.g., a clutch listed at 10insteadof100), we will notify you and issue a full refund.

B. Pricing & Taxes

All prices on sistabag.store are listed in United States Dollars (USD) unless otherwise indicated. Prices do not include shipping costs or applicable taxes. Sales tax is calculated at checkout based on the shipping address and applicable state laws. We do not collect VAT or import duties for international orders – those fees are your responsibility.

We reserve the right to adjust prices at any time without notice. However, once you complete your purchase at a specific price, that price will not change for that order.

C. Availability & Inventory

Products are offered while supplies last. If an item is out of stock after you place an order, we will notify you within 2 business days and either offer a backorder (if available) or issue a full refund. High-demand items (e.g., limited edition clutches) may sell out quickly. We do not guarantee that any product will be available at any given time.

D. Promotional Codes & Discounts

From time to time, we may offer promotional codes. These codes:

  • Are valid only for the specified period.

  • Cannot be combined with other offers unless explicitly stated.

  • Are not applicable to prior purchases.

  • Have no cash value and cannot be exchanged for money.

If you return an item purchased with a discount code, the refund amount will be the price you actually paid (not the full retail price). Promotional codes are void where prohibited.


III. Orders & Payment

A. Order Acceptance

After you place an order on sistabag.store, you will receive an email acknowledging receipt of your order. This email is not an acceptance of your order. It is merely confirmation that we have received it. We reserve the right to accept or decline your order for any reason, including but not limited to:

  • Product unavailability.

  • Payment verification issues.

  • Suspected fraud.

  • Pricing errors.

  • Shipping address restrictions.

If we decline your order after payment has been processed, we will issue a full refund via Stripe within 5 business days.

B. Payment Methods

We accept payment via Stripe, which processes credit cards (Visa, Mastercard, American Express, Discover, Diners Club, JCB), debit cards, Apple Pay, and Google Pay. By providing a payment method, you represent that you are authorized to use that method. You agree to pay all charges incurred by you or any user of your account.

If your payment fails (e.g., insufficient funds, expired card), we may cancel your order. We are not responsible for any fees your bank may charge for declined transactions.

C. Billing Information

You agree to provide current, complete, and accurate billing and shipping information. We may cancel your order if we suspect inaccurate information. It is your responsibility to update your account or contact us at ngocanh21.hn@gmail.com with any changes before shipment.

D. Order Modifications & Cancellations

Once an order is placed, our warehouse processes it very quickly (often within 2 hours). If you need to modify or cancel your order, email ngocanh21.hn@gmail.com immediately with “URGENT – ORDER CHANGE” in the subject line. If the order has not yet been fulfilled, we will accommodate your request at no charge. If it has already shipped, you will need to follow our Refund and Return Policy to return the item.


IV. Shipping & Delivery

A. Shipping Policy

Our shipping practices are detailed in our separate Shipping Policy. By placing an order, you agree to the terms of that policy, which is incorporated by reference into these Terms. Key points include:

  • We ship to addresses within the USA and many international destinations.

  • Delivery times are estimates, not guarantees.

  • Risk of loss passes to you upon delivery to the carrier. We are not responsible for lost or stolen packages after tracking shows “Delivered,” but we will assist with carrier claims.

B. International Shipping

For international orders, you are the importer of record. You are responsible for:

  • Any customs duties, taxes, or fees imposed by your country.

  • Complying with all import laws and restrictions.

  • Providing a valid phone number and email for customs clearance.

We are not responsible for delays caused by customs, nor for packages seized or destroyed by foreign customs authorities. If you refuse to pay duties and the package is returned to us, we will refund the product cost minus a 15% restocking fee and minus our original shipping costs (which we cannot recover). No refund will be issued until we physically receive the returned package.

C. Delivery Estimates

We provide estimated delivery dates based on carrier averages. These are not guaranteed. We are not liable for delays caused by weather, carrier strikes, customs, or other force majeure events.


V. Returns, Refunds & Warranties

A. Return Policy

All returns are governed by our Refund and Return Policy, which is incorporated into these Terms. Key provisions include:

  • 30-day return window for most items.

  • Items must be unused with tags attached.

  • Customers pay return shipping for non-defective items.

  • No restocking fees.

B. Limited Warranty

We offer a 90-day limited warranty against manufacturing defects for leather handbags, clutches, and wallets, and a 60-day warranty for Eclipse Makeup Bags. The warranty does not cover normal wear and tear, misuse, or unauthorized repairs. To make a warranty claim, email ngocanh21.hn@gmail.com with proof of purchase and photos.

C. Warranty Disclaimer

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.


VI. Intellectual Property

A. Our Content

All content on sistabag.store, including but not limited to text, graphics, logos, images, product designs, videos, and software, is the exclusive property of Sistabag Magic and Melanin LLC or its licensors and is protected by United States and international copyright, trademark, and trade dress laws. You may not:

  • Reproduce, distribute, modify, or create derivative works of our content without our express written permission.

  • Use our trademarks (e.g., “Sistabag,” “Magic and Melanin,” the Sistabag logo) in any way that may cause confusion or dilution.

  • Frame or embed our Site on another website without authorization.

B. User Content

If you post reviews, comments, photos, or other content to our Site or social media (collectively “User Content”), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, reproduce, modify, adapt, publish, and display that content in any media. You represent that you own or have permission to post such content and that it does not violate any third-party rights.

We reserve the right to remove any User Content that is offensive, defamatory, or violates these Terms.


VII. Prohibited Conduct

When using our Site, you agree not to:

  1. Violate any law or regulation – including consumer protection, privacy, or export control laws.

  2. Impersonate another person – or provide false information about your identity or affiliation.

  3. Interfere with the Site – including introducing malware, overloading our servers, or bypassing security measures.

  4. Scrape or harvest data – using bots, crawlers, or other automated tools to extract product information or customer data.

  5. Engage in fraudulent transactions – including using stolen credit cards, testing cards, or filing false chargebacks.

  6. Resell our products without authorization – unless you have a written wholesale agreement with us.

Violation of these prohibitions may result in immediate termination of your access, cancellation of orders, and legal action.


VIII. Privacy & Data Protection

IX. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SISTABAG MAGIC AND MELANIN LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.


X. Indemnification

You agree to indemnify, defend, and hold harmless Sistabag Magic and Melanin LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your violation of these Terms.

  • Your misuse of our products or Site.

  • Your violation of any third-party rights, including intellectual property or privacy rights.

  • Any content you post or submit to our Site.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall cooperate with our defense of such claims.


XI. Dispute Resolution & Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND PROVIDES THAT ANY DISPUTE BETWEEN YOU AND SISTABAG MAGIC AND MELANIN LLC WILL BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS, NOT AS A CLASS ACTION.

A. Informal Resolution

Before filing a formal claim, you agree to contact us at ngocanh21.hn@gmail.com or +84369909540 to attempt to resolve the dispute informally. We will make a good-faith effort to resolve the dispute within 30 days. If resolved, a written settlement agreement will be drafted.

B. Binding Arbitration

If the dispute cannot be resolved informally, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Sheridan, Wyoming, or via telephone/video conference if the claim is under $10,000. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

C. Class Action Waiver

YOU AGREE THAT ANY DISPUTE SHALL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims or preside over any class proceeding.

D. Exceptions to Arbitration

Notwithstanding the above, either party may bring a claim in small claims court (if eligible) or seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights.

E. Opt-Out

You may opt out of this arbitration agreement within 30 days of your first purchase by emailing ngocanh21.hn@gmail.com with your full name and order number and the statement “I opt out of arbitration.” If you opt out, the dispute resolution provisions of your state’s law shall apply.


XII. Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. For any matter not subject to arbitration (as above), you and we consent to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.


XIII. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.


XIV. Entire Agreement

These Terms, together with our Privacy PolicyShipping PolicyRefund and Return Policy, and any other legal notices published by us on sistabag.store, constitute the entire agreement between you and Sistabag Magic and Melanin LLC regarding your use of the Site and purchase of products. They supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written.

Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of the Company. Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.


XV. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms if the delay or failure is caused by events beyond our reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, pandemics, government orders, strikes, fires, floods, earthquakes, hurricanes, power outages, or supplier failures. In such events, our performance shall be suspended for the duration of the force majeure, and we will make reasonable efforts to resume performance as soon as practicable.


XVI. Assignment

You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms in whole or in part to any affiliate or successor in interest (e.g., in a merger or acquisition) without your consent, provided that the assignee agrees to be bound by these Terms.


XVII. Electronic Communications

By using sistabag.store or sending us emails, you consent to receive electronic communications from us. We may communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

To unsubscribe from marketing emails, click the “unsubscribe” link at the bottom of any marketing email. You cannot unsubscribe from transactional emails (order confirmations, shipping updates, refund notifications).


XVIII. Third-Party Links

Our Site may contain links to third-party websites (e.g., social media platforms, payment pages). These links are provided for your convenience only. We do not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party site. Your interactions with third-party sites are solely between you and that third party.


XIX. SMS/Text Messaging Terms

If you provide your phone number to us and opt in to receive text messages, you agree to the following:

  • We may send you transactional (order updates) and promotional text messages.

  • Message and data rates may apply according to your carrier plan.

  • To opt out, reply STOP to any message. You may receive a confirmation text.

  • We do not charge for text messages, but your carrier’s fees apply.

  • We are not liable for delayed or undelivered messages due to carrier issues.


XX. Comments & Feedback

If you submit ideas, suggestions, or feedback to us (via email, social media, or otherwise), you agree that:

  • We may use, disclose, adopt, and implement such feedback without any restriction or obligation to you.

  • Your submission does not contain confidential or proprietary information belonging to you or any third party.

We appreciate your ideas but cannot promise to implement them. If you do not want us to use your feedback, please do not send it.


XXI. California Consumer Rights

If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA). These are detailed in our Privacy Policy. Additionally, under California Civil Code Section 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

We do not engage in “shipping and handling” fees that exceed our actual costs. Any such fees are clearly disclosed at checkout.


XXII. International Users

Our Site is operated from the United States. If you access the Site from outside the US, you are responsible for compliance with local laws. We make no representation that our products or content are appropriate or available for use in any particular country. You may not use our Site or purchase our products in violation of US export controls or sanctions.

For customers in the European Union: If you are acting as a consumer, nothing in these Terms restricts your mandatory statutory rights under EU law, including the right to withdraw from a purchase within 14 days (as noted in our Refund and Return Policy). In case of any conflict between these Terms and mandatory local law, local law shall prevail.

The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any payment obligations accrued prior to termination.

BY USING SISTABAG.STORE OR PURCHASING ANY PRODUCT FROM SISTABAG MAGIC AND MELANIN LLC, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND CONDITIONS, INCLUDING THE ARBITRATION AND CLASS ACTION WAIVER PROVISIONS IN SECTION XI.
